We acted for a the founders of a leading Bulgarian dealership of automotive spare parts and accessories on the obtaining of an unconditional phase-one merger clearance decision in relation to the acquisition of the local business operations of a global provider of alternative and accessory parts and the formation of a joint venture with the seller in a complex series of interrelated transactions resulting in the creation of a market leader on the Bulgarian market for car parts.

We assisted our client, a multinational dealer of passenger and commercial vehicles, on obtaining of an unconditional merger control approval from the Bulgarian competition authority, in relation to the exit of one of the shareholders and the change of the quality of the control of the group from joint into sole control. We also advised the Bulgarian subsidiary on the (re-)organization of its selective distribution network in Bulgaria.

We teamed up with a global law firm to advise a European family-owned company specializing in the production of natural mineral water, spring water and natural fruit drinks, on the acquisition of the market-leading producer of bottled water in Bulgaria. The transaction was based on an enterprise value of €120 million making it a top 3 M&A deal in terms of value in Bulgaria for 2016.

We acted, along with a global law firm, for the leading multinational integrated security group in the divestment of its Bulgarian subsidiary company. The transaction followed a strategic global-wide business review that included restructuring and exits from various non-core jurisdictions across the globe.

We acted as local counsel alongside a global law firm to advise a fleet management and car leasing company, part of an international financial and banking group, on acquiring the fleet management and leasing business of a Hungarian financial banking group in Bulgaria to become the largest fleet management service provider in the country.

We advised a publicly listed US technology company on the acquisition of a US – Bulgarian storage virtualization company, as a Bulgarian co-counsel to a global law firm. A Top 5 M&A Deal of 2014 in Bulgaria in terms of value.

We advised a US based international renewable energy company on the Bulgarian aspects of its investment in a joint venture operating solar energy projects in six jurisdictions across the globe.

We acted, along with an international law firm, for a lenders syndicate, and its UK based specialist fund manager providing debt and equity capital to small and medium-sized businesses, for the financing of the acquisition of a group of technology and market research consultancy companies in Bulgaria. We assisted the syndicate on all matters relating to the structuring and execution of the related Bulgarian security package.

We successfully assisted a leading Bulgarian insurance broker in unfair competition investigation before the Competition Protection Commission.
